Terms of Service

These Terms are a contract between you and OctoChurn (Bangkok, Thailand), referred to as “we,” “us,” and “our.” By using https://octochurn.comor our applications (the “Service”), you agree to them. If you do not agree, do not use the Service.

What we offer

OctoChurn is software-as-a-service for subscription retention: cancel flows, payment recovery, win-back campaigns, and related analytics. Features may change over time. We will give reasonable notice for changes that adversely affect paying customers.

Beta

While the Service is marked as beta, it is provided free of charge and features may change, be incomplete, or occasionally break. We may introduce paid plans later; you will never be charged without explicitly subscribing to one.

Your account

  • You must be at least 16 to use the Service, and using it for a business requires authority to bind that business.
  • You are responsible for your credentials and any activity under your account.
  • Email admin@octochurn.com if you suspect unauthorized access.

What you can't do

Don't use the Service to:

  • Break the law
  • Upload malware or attempt to compromise the Service
  • Reverse-engineer or copy the Service
  • Resell or sublicense access without our written permission
  • Send spam, phishing, or anything abusive, including through dunning, win-back, or live feed features
  • Infringe other people's IP, privacy, or other rights
  • Scrape or automate against the Service without permission
  • Overload the Service (excessive API calls, denial of service)

We may suspend or close accounts that break these rules.

Your customers, your configuration

The Service sends emails, shows offers, retries charges, pauses subscriptions, and performs similar actions according to settings you choose. You are responsible for:

  • Having the legal right to contact your customers through the channels you enable, and complying with marketing, e-commerce, and consumer protection laws that apply to your business;
  • The content of messages you configure or edit, and the fairness of offers you make;
  • Reviewing automated actions (retries, pauses, cancellations, refunds and credits) before enabling them, and the consequences of the configuration you choose;
  • Your obligations to Stripe, Omise, and any other processor you connect, whose own terms apply.

We are not a payment processor, money transmitter, or law firm. Card data is held by your processor; we never store card numbers.

No guaranteed results

Save rates, recovery rates, projected revenue, and similar figures shown anywhere in the Service or on our website are estimates based on industry data or your own history. They are not promises. We do not guarantee any particular retention, recovery, or revenue outcome, and you should not make business decisions assuming a specific result.

Your content and data

You own what you upload or create on the Service, and your customers' data remains governed by our Privacy Policy (you are its controller, we are your processor). You give us permission to store, process, and display this material solely to provide the Service to you. This permission ends when you delete the content or close your account.

Our content

The Service itself (code, design, brand) belongs to us. You get a limited, non-transferable license to use it for its intended purpose while your account is in good standing.

Feedback

If you suggest improvements, we can use them freely without owing you anything.

Subscriptions and payment

  • Current plans and prices will be published before any paid plan launches.
  • Paid subscriptions auto-renew unless you cancel; cancellation takes effect at the end of the current period.
  • Prices exclude taxes; those are added where required.
  • We may change prices with at least 30 days' notice for upcoming billing cycles.
  • If your payment fails, we may suspend access after reasonable retries.
  • Refunds are governed by our Refund Policy.

Ending the contract

You can close your account anytime in settings. We may suspend or close your account if you break these Terms, fall behind on payment, or pose a security risk. When your account ends, you have 30 days to export your data before we delete it (subject to standard backup retention).

The protective part (please read)

The Service is provided “as is.” We cannot promise it will be perfect, uninterrupted, or fit for your specific purpose, and we make no warranties beyond what the law requires.

If something goes wrong, our total liability to you for any 12-month period is capped at the amount you actually paid us in that period (or USD $100 if you paid nothing). We are not liable for indirect, incidental, or consequential losses, including lost profits, lost revenue you believe the Service would have recovered, or lost data beyond what you can export. This cap is what lets a small operation offer the Service at all.

If we face claims because of what you did: your content, your configuration, your messages to your customers, or your breach of these Terms, you agree to cover the reasonable costs of defending against those claims.

Third-party services

The Service connects to others (Stripe, Omise, analytics tools, OAuth providers). We are not responsible for them, their outages, or their decisions (for example, a processor freezing your account). Their terms apply when you use them.

Changes to these Terms

We may update these Terms. For material changes, we will give 14 days' notice by email or in-app notice. Continuing to use the Service after that means you accept the changes.

Disputes and governing law

These Terms are governed by the laws of Thailand. Disputes will be handled in the courts of Thailand, except where mandatory consumer protection law gives you the right to use your local courts.

Odds and ends

  • These Terms, the Privacy Policy, and the Refund Policy are the whole agreement between us about the Service.
  • If part of these Terms is unenforceable, the rest still applies.
  • You can't transfer this contract; we can if we sell or restructure the business.
  • We communicate by email, in-app message, or on the website.
  • We are not liable for delays caused by events outside our reasonable control.
